Terms of Service

How the AgenTeach service works for schools, districts, and their staff. Our Privacy Policy is incorporated into these Terms.

1. The service

AgenTeach (the "Service"), operated by AgenTeach LLC, a Delaware limited liability company ("AgenTeach," "we," "us"), is an AI-assisted workspace for teachers and school staff: roster and coursework sync from Google Classroom, follow-up tracking, evidence and observation organization, and teacher-reviewed drafting of family communications. The Service is provided to schools and districts ("LEAs") and their authorized staff ("Users"). Students are not Users and may not create accounts.

2. Agreements and precedence

Use by an LEA is typically governed by a signed data privacy agreement (e.g., the SDPC National Data Privacy Agreement or a state variant). If these Terms conflict with a signed LEA agreement, the LEA agreement controls. Our Privacy Policy is incorporated into these Terms.

3. Accounts and access

Users sign in with their institution's Google or Microsoft identity. Users must be authorized by their LEA, keep credentials secure, and use the Service only within their assigned role and student relationships. We may suspend access to protect the Service or its data.

4. Student data

As between the parties, student data is and remains the property of the LEA (and, as applicable, the parent/eligible student). We process it only to provide the Service, as described in the Privacy Policy and applicable LEA agreement. We do not sell student data, use it for targeted advertising, build non-educational profiles, or use it to train AI models.

5. Acceptable use

Users must not: use the Service outside their LEA-authorized role; upload data they lack authority to process; attempt to access other tenants' data; probe or defeat security controls; use the Service to make automated decisions about students without human review; or resell the Service.

6. AI-assisted features

AI features produce drafts and suggestions only. Users must review AI output before relying on it, sending it, or saving it as a record. AI output may contain errors; the teacher, not the Service, is the author of record for anything sent or filed. AI features must not be used as the sole basis for grading, discipline, special education, or other consequential decisions about students.

7. Intellectual property

We retain all rights in the Service. The LEA retains all rights in its data. Users retain rights in content they author; we receive only the license needed to operate the Service.

8. Availability, warranties, liability

The Service is provided on an "as available" basis for pilot and production use as agreed with each LEA. EXCEPT AS STATED IN A SIGNED LEA AGREEMENT, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, AND OUR AGGREGATE LIABILITY IS LIMITED TO THE FEES PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. Nothing here limits liability that cannot be limited by law, or obligations (including breach cost responsibilities) accepted in a signed LEA agreement.

9. Term, termination, and data return

Either party may terminate per the applicable LEA agreement. On termination or written request, we export LEA data in a usable format (if requested) and delete student data within 60 days, subject to legal holds and the backup-cycle caveats in the Privacy Policy.

10. Changes

We will post updated Terms with a new effective date and notify LEA contacts and Users in advance of material changes.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Signed LEA agreements typically apply the LEA's own state law (for example, Texas law for TX-NDPA districts); where they do, the LEA agreement controls for that LEA (§2).
